Corruption begins when a Decision is purchased rather than persuaded.
WFO advances propositions through Evidence, judgement, argument, performance, relationships and legitimate institutional access. It does not use money, benefit, pressure or concealed advantage to procure improper treatment.
Value, standing and access support legitimate engagement. They do not purchase a Decision.
THE GOVERNING POSITION
WFO distinguishes legitimate Influence from bribery, coercion, concealed advantage and corrupt inducement.
Influence is the capacity to potentially affect consideration, judgement or outcome without possessing Authority or Control.
Legitimate Influence leaves the recipient free to exercise independent judgement. It operates through the merits of the proposition, the quality of the Evidence, the credibility of the people involved and the standing properly attached to the relationship.
Bribery seeks to displace that independence through an improper financial or other advantage.
The governing principle is:
WFO does not regard otherwise attractive commercial Outcome as justification for bribery, corruption or improper use of influence.
BRIBERY AND CORRUPTION
Bribery includes offering, promising or giving a financial or other advantage intended to induce or reward improper performance.
It also includes requesting, agreeing to receive or accepting such an advantage.
Corruption extends to the misuse of entrusted position, access, Influence, Authority or institutional capability for improper private, commercial or political advantage.
The advantage need not consist of money. It includes gifts, hospitality, commissions, rebates, employment, appointments, contracts, confidential information, favourable treatment, charitable or political support and benefits provided to another person at the intended recipient’s request.
The description attached to an advantage does not determine its character. A consultancy fee, introduction payment, donation, sponsorship, expense, employment opportunity or success fee remains subject to its actual Purpose and economic substance.
Purpose, context and conduct establish the Territory. The label is only a Map.
LEGITIMATE INFLUENCE
WFO operates through relationships and institutional access. Their legitimate use is central to the Office’s work.
An introduction brings a proposition to the attention of an appropriate person. It does not require a favourable response.
Standing supports attention and credibility. It does not create Authority over the recipient.
Evidence and argument support persuasion. They do not justify pressure, deception or concealed consideration.
A relationship provides context and access. It does not convert a personal obligation into a commercial entitlement.
WFO therefore distinguishes:
- access from Authority;
- Influence from Control;
- advocacy from coercion;
- persuasion from inducement;
- recognition from obligation;
- and legitimate reciprocity from a concealed exchange of advantage.
The relevant question is not merely whether one person affects another. It is whether the recipient remains free to consider the matter honestly, impartially and upon its merits.
GIFTS AND HOSPITALITY
Gifts and hospitality form part of legitimate personal, professional and institutional life.
WFO does not treat reasonable and proportionate hospitality, ceremonial courtesy or ordinary relationship-building as inherently improper. The Purpose, timing, value, frequency, transparency, recipient and surrounding Decision environment determine the appropriate treatment.
A gift or hospitality arrangement receives greater scrutiny where it:
- coincides with a material Decision, procurement, appointment or negotiation;
- is unusually valuable or frequent;
- is concealed or inaccurately described;
- extends materially to family members or associates;
- conflicts with the recipient’s duties or applicable rules;
- creates an apparent expectation of preferential treatment;
- or lacks an intelligible professional, cultural or institutional Purpose.
WFO does not give or accept cash or cash-equivalent gifts in connection with a business, professional, public or institutional Decision.
A gift, invitation or courtesy is declined, returned, disclosed or recorded where acceptance threatens independent judgement, creates material misunderstanding or conflicts with applicable duties.
Transparency does not cure an improper Purpose. Equally, value alone does not establish corruption without consideration of the wider Territory.
PUBLIC OFFICIALS AND PUBLIC FUNCTIONS
Relationships involving public officials, public bodies, state-owned enterprises and people exercising public functions receive particular care.
WFO does not offer or provide an advantage intended to influence a public official in that person’s official capacity or to obtain or retain business or another improper advantage.
Protocol, ceremonial practice and legitimate institutional hospitality remain subject to applicable law, local rules, proportionality and the recipient’s own duties.
A practice described as customary does not become acceptable merely because it occurs frequently within a jurisdiction or sector.
Political access, public service, diplomatic standing and institutional relationships are not used to bypass proper process or secure treatment unavailable upon legitimate terms.
FACILITATION PAYMENTS
WFO does not make facilitation payments.
An unofficial payment intended to secure or accelerate a routine action remains an improper payment even where the payer already possesses an entitlement to the service concerned.
Commercial inconvenience, administrative delay or local custom does not alter that position.
The prohibition does not require a person to place life or physical safety at risk. A demand accompanied by an immediate threat to safety is treated first as a safety incident and then promptly recorded, escalated and legally assessed.
THIRD PARTIES AND INTERMEDIARIES
Bribery conducted through another person remains bribery.
WFO examines the role, identity, ownership, capability, connections, remuneration and commercial rationale of agents, introducers, consultants, advisers, joint-venture participants and other intermediaries.
An intermediary relationship requires a genuine and intelligible Purpose.
The engagement identifies the service performed, the Authority granted, the expected output, the basis of remuneration and the proper recipient of payment.
Fees remain proportionate to the legitimate service and are paid through an appropriate, transparent and Evidentially supported route.
A success fee, commission or introduction payment does not receive acceptance merely because such payments occur within the market. Its legitimacy depends upon the service, Purpose, amount, recipient and surrounding Decision environment.
WFO does not use an intermediary to perform an act that the Office does not perform directly.
The following circumstances require examination rather than automatic conclusion:
- an intermediary whose role remains unclear;
- compensation materially disproportionate to the documented service;
- payment to an unrelated person, jurisdiction or account;
- unusual urgency or resistance to written terms;
- undisclosed public, political or family connections;
- requests for cash, false descriptions or divided invoices;
- and assurances based principally upon personal access or an ability to “make the problem disappear”.
Longstanding association does not remove the need to understand a current engagement.
DONATIONS, SPONSORSHIP AND COMMUNITY SUPPORT
Charitable giving, sponsorship and public-service support remain distinct from the purchase of Influence.
WFO examines the Purpose, recipient, beneficial destination, timing and relationship between the contribution and any Decision affecting the Office or family.
A donation does not proceed where it operates as a concealed benefit to a decision-maker, diverts Value for private advantage or seeks preferential treatment.
Political contributions, where legally and institutionally relevant, require express Authority, transparency and treatment consistent with applicable law and WFO Purpose.
Charitable purpose does not cure corrupt intent.
APPOINTMENTS, EMPLOYMENT AND OPPORTUNITY
Employment, appointments, internships, investments and commercial opportunities possess economic and relational Value.
WFO does not offer or arrange such an opportunity as consideration for improper treatment.
Merit, Purpose, competence, Authority and conflict treatment govern appointments made within or through the WFO framework.
A family, political, public-service or professional relationship is identified where relevant. It does not substitute for the substantive basis of the Decision.
RECORDS AND ECONOMIC SUBSTANCE
The record reflects the real Purpose, recipient and substance of each material payment or benefit.
WFO does not use false descriptions, off-record accounts, artificial invoices, undisclosed rebates or other devices to conceal the character or destination of Value.
Contracts and invoices support the record. They do not prove that the underlying activity occurred or that its Purpose was legitimate.
Where the form, conduct and economic substance do not agree, the difference receives examination.
Complexity is not proof of corruption. Unexplained complexity is information.
DECISION AND ESCALATION
A bribery or corruption concern changes the Decision pathway.
The relevant activity pauses while the facts, Authority, obligations and available Evidence receive appropriate examination.
WFO declines or withdraws from a relationship where the concern remains unresolved, the proposed conduct is improper or the counterparty requires action inconsistent with law, Governance, professional responsibility or WFO Purpose.
No person acting within the WFO framework is penalised for refusing to offer, authorise, receive or conceal an improper advantage.
A good-faith concern is raised promptly through the appropriate channel. The record preserves the substance of the concern, the Evidence available, the person or body exercising Authority and the action taken.
Where reporting, disclosure, preservation or professional obligations apply, the responsible person acts through the prescribed legal or professional route.
The no-surprises principle applies. Concealment compounds the original concern.
PROFESSIONAL RESPONSIBILITY
Professional advisers retain responsibility for their own anti-bribery, corruption, conflict, regulatory and conduct obligations.
WFO coordination does not transfer or dilute those responsibilities.
A lawyer, accountant, banker, investment professional, consultant or other adviser remains responsible for the integrity of that professional’s own conduct, advice, records and associated-person arrangements.
Use of FCA, Ministry of Justice or other professional guidance as a benchmark does not imply that WFO itself possesses a regulatory status merely by reference to that material.
ASSURANCE WITHOUT VULNERABILITY
WFO makes its governing position and standards of conduct visible.
The public record explains:
- the distinction between legitimate Influence and improper inducement;
- the treatment of gifts, hospitality and other advantages;
- the position on facilitation payments;
- the responsibilities attached to intermediaries;
- the treatment of donations, sponsorship and appointments;
- and the consequence of unresolved concern.
Private records retain detailed approval thresholds, gift and hospitality records, third-party diligence, contractual terms, payment controls, escalation material, legally protected reports and other sensitive operating information.
The existence of disciplined control is visible. Its vulnerable mechanics remain protected.
