CONFLICTS

Interests, duties and Decision integrity

Conflicts are conditions requiring Governance.

Their existence does not itself imply misconduct. Their concealment, denial or inadequate management threatens independent judgement, trust, Authority and Decision integrity.

WFO therefore makes relevant interests, duties, relationships and capacities visible before they distort a Decision.

WHAT WFO MEANS BY A CONFLICT

A conflict exists where an interest, duty, relationship, role or body of information competes with—or reasonably appears to compromise—the impartial exercise of responsibility in a matter.

WFO distinguishes:

  • an actual conflict, where competing interests or duties affect the matter presently under consideration;
  • a potential conflict, where identifiable circumstances bring interests or duties into competition as the matter develops;
  • an apparent conflict, where the available facts give a reasonable, informed observer grounds to question independence or objectivity, irrespective of whether improper influence has occurred;
  • a conflict of interest, where a personal, family, financial, relational, professional or institutional interest competes with a responsibility owed in the matter;
  • a conflict of duties, where responsibilities owed to two or more people, entities or institutions are incompatible in the same matter;
  • a conflict of role or capacity, where one person participates in materially different capacities whose responsibilities are not aligned;
  • and an information conflict, where access to confidential, privileged, restricted or non-public information constrains participation or use.

A reasonable appearance of conflict matters because confidence depends upon both the integrity of the Decision and the credibility of the process through which it is reached.

Unsupported allegation does not establish a conflict. The assessment remains grounded in the relevant facts, duties, interests, capacities, Evidence and Time-State.

WHOSE RESPONSIBILITY

The conflicts discipline applies to each person acting for, representing or participating in WFO within the scope of the relevant role.

This includes, according to the matter:

  • family members acting through a WFO mandate;
  • directors and officers;
  • members of the Family Council, Investment Committee or another Decision body;
  • people and capability employed directly by WFO;
  • contractors, secondees and externally supplied capability;
  • and professional advisers or institutional counterparties acting within their own engagements.

Each person remains responsible for timely disclosure of a relevant conflict. WFO coordination does not replace the separate legal, fiduciary, regulatory, contractual or professional duties applying to another person or organisation.

THE OPERATIVE SEQUENCE

identify → avoid → declare → record → manage → recuse → withdraw

The sequence reflects increasing intervention. It does not require every matter to pass through every stage.

IDENTIFY

Conflict analysis begins before participation, information access or Decision involvement becomes established.

Relevant interests and duties include:

  • ownership, investment and economic interests;
  • remuneration, fees, commissions, referral arrangements and other benefits;
  • family and close personal relationships;
  • professional, advisory and fiduciary duties;
  • directorships, trusteeships, partnerships, employment and external appointments;
  • institutional, public-service and charitable roles;
  • creditor, borrower, guarantor and security-provider positions;
  • gifts, hospitality and benefits;
  • confidential, privileged or restricted information;
  • previous or concurrent involvement in the matter;
  • personal or institutional standing placed behind a proposition;
  • and any other circumstance bearing materially upon independent judgement.

Identification focuses upon the Territory, not labels. A relationship described as informal, historic or personal still receives examination where its present effect is material.

AVOID

Avoidance receives priority where the proposed structure creates an unnecessary or inherently unmanageable conflict.

Avoidance includes:

  • declining an incompatible role;
  • separating mandates or capacities from the outset;
  • appointing an independent person, team or adviser;
  • allocating the matter away from the affected person;
  • restricting information before it is received;
  • and structuring ownership, approval or Execution so that competing duties do not arise.

Avoidance is not an admission of wrongdoing. It preserves independence before a conflict becomes embedded in the process.

DECLARE

A conflict is declared as soon as it is identified and before the affected person participates further in the relevant matter.

The declaration identifies enough information to establish:

  • the nature of the interest, duty, relationship or capacity;
  • its connection to the matter;
  • the people, entities or Decisions affected;
  • the present Time-State;
  • and any confidentiality, legal or professional restriction governing further disclosure.

Declaration remains proportionate. It does not place unrelated personal or confidential information into unnecessary circulation.

Late identification is recorded when it occurs. Decisions, advice, access and actions already taken then receive review for material effect.

Declaration alone does not resolve a conflict.

RECORD

Material conflicts and their treatment are recorded.

The record identifies, as relevant:

  • the person and matter concerned;
  • the actual, potential or apparent nature of the conflict;
  • the relevant duties, interests and capacities;
  • the Evidence considered;
  • the materiality assessment;
  • the person or body responsible for determining the response;
  • the management measures applied;
  • the scope and duration of any recusal or information restriction;
  • the Decision, review and escalation history;
  • and the date or event prompting reconsideration.

The record preserves Accountability, Provenance and Time-State. It also permits a later reviewer to understand why the chosen pathway protected the Decision.

ASSESS

The response reflects materiality, proximity, duration and the practical effect upon judgement.

WFO considers:

  • the nature and significance of the interest or duty;
  • the likelihood and scale of benefit, detriment or divided loyalty;
  • the person’s role, Authority and access to information;
  • the stage, value, duration, Risk and reversibility of the matter;
  • the effect upon quorum, challenge, approval and Execution;
  • applicable statutory, fiduciary, regulatory, contractual and professional obligations;
  • confidentiality and information-security requirements;
  • the perspective of a reasonable, informed observer;
  • consequences across the Six Capitals;
  • and the effect upon standing, trust and future relationship continuity.

Materiality determines the degree of independence, Evidence, record, approval and escalation required. A remote connection does not receive the same treatment as a direct economic interest or incompatible fiduciary duty.

MANAGE

Management preserves independent judgement and a valid Decision pathway.

According to the Territory, management includes:

  • disclosure to the appropriate Decision-maker or body;
  • clarification of capacity, Authority and duty;
  • independent legal, financial, investment or other professional advice;
  • independent valuation or verification;
  • separate advisers, teams or representation;
  • proportionate information barriers and access restrictions;
  • reassignment of analysis, recommendation, approval or Execution;
  • an additional independent reviewer or approver;
  • adjustment of quorum, voting or delegated-Authority arrangements in accordance with the governing instrument;
  • restriction or termination of the conflicting interest, role or benefit;
  • recusal;
  • and withdrawal from the matter or relationship.

The management decision and its rationale are recorded. Continuing conflicts remain under review as circumstances change.

A management arrangement does not override applicable law, a governing instrument, professional duty or Definitive Documentation.

RECUSAL

Recusal applies to a WFO member or officer and means exclusion from discussion, Decision or vote as appropriate. It does not imply impropriety and is recorded.

The record defines the scope of recusal, including access to papers, attendance, discussion, analysis, recommendation, voting, approval and Execution.

Recusal does not create Authority in another person. The remaining Decision pathway retains valid Authority, quorum, competence and access to sufficient Evidence.

Informal influence does not replace formal participation after recusal. Relevant communication follows the recorded route.

WITHDRAWAL

WFO itself withdraws; the institution does not “recuse” itself.

Where a conflict is not managed to an acceptable standard, WFO declines, ceases or withdraws from the relevant relationship or activity.

Withdrawal is conducted in accordance with applicable duties, contracts and Definitive Documentation. The record preserves the reason, Authority, outstanding obligations, information treatment and any action required to prevent material misunderstanding.

Family connection does not remove the existence of a conflict or displace the duties attached to a legal or Governance capacity.

Particular care applies to:

  • transactions between family members, companies, trusts or other connected structures;
  • allocation of opportunities, benefits, costs or liabilities among different owners or branches;
  • appointments, remuneration, procurement and use of family-connected providers;
  • valuations, transfers, gifts, loans, guarantees and security arrangements;
  • inheritance, Succession and changes in Authority;
  • use of shared assets, information, relationships or institutional standing;
  • and Decisions in which the person proposing, advising, approving and benefiting from the arrangement is the same.

Family agreement through one forum does not displace a director’s, trustee’s, partner’s, owner’s, signatory’s or professional’s separate duties.

INVESTMENT AND PROFESSIONAL CONFLICTS

Investment and professional relationships often contain legitimate commercial incentives. Those incentives remain visible.

Relevant matters include:

  • proprietary holdings or economic interests;
  • fees, commissions, placement arrangements and referral benefits;
  • allocation of investment opportunities;
  • multiple-client or multiple-principal duties;
  • prior, current or proposed relationships with a counterparty;
  • research, valuation or advice influenced by another commercial interest;
  • gifts, hospitality and non-financial benefits;
  • possession or proposed use of non-public information;
  • and responsibility for both recommending and approving the same course.

Each professional function retains responsibility for its own conflicts obligations, independence and regulated judgement.

WFO receives sufficient information to assess the integrity of the engagement while respecting privilege, confidentiality and professional restrictions. WFO’s assessment does not replace the adviser’s own conflicts process.

INFLUENCE, RELATIONSHIPS AND ACCESS

Influence is the capacity to potentially affect consideration, judgement or outcome without possessing Authority or Control.

Where Influence arises through a family relationship, professional association, institutional office, introduction or access pathway, WFO identifies its relevance without confusing it with Decision Authority.

A relationship does not itself establish a conflict. Its effect upon independence, duty, information, benefit and reasonable perception determines its significance.

An introduction is not an endorsement or guarantee. Association does not transfer Authority, Control or responsibility for another person’s conduct.

INFORMATION AND CONFIDENTIALITY

Declaration of a conflict does not authorise unrestricted disclosure.

Information is shared with those responsible for assessment, management, professional advice, Decision or record according to legitimate Purpose and applicable duty.

Information barriers protect restricted material without concealing the existence of the conflict from the person or body responsible for governing it.

Legal privilege, confidentiality, data protection and professional obligations remain intact.

DECISION INTEGRITY

The no-surprises principle applies.

Material conflicts become visible early enough for the Decision pathway to adapt without avoidable loss of Evidence, independence, Optionality or trust.

A person subject to recusal does not shape the same Decision through unrecorded discussion, selective information, indirect instruction or control over the analytical process.

The record distinguishes:

  • disclosure from consent;
  • advice from Decision;
  • recusal from withdrawal;
  • Influence from Authority;
  • association from Control;
  • and management of a conflict from proof that no conflict existed.

A substantively attractive Outcome does not cure a defective process.

REVIEW AND TIME-STATE

Conflicts change as relationships, interests, duties, information and transaction stages change.

Review occurs when:

  • a new interest, role, appointment or relationship arises;
  • ownership, remuneration or benefit changes;
  • new Evidence becomes available;
  • a matter moves into a different Decision or Execution stage;
  • participants, Authority or quorum change;
  • a potential conflict becomes actual;
  • a management measure ceases to operate effectively;
  • or a material period has elapsed.

The absence of recorded conflicts does not by itself demonstrate good Governance. Effective Governance makes relevant conflicts identifiable, declared and capable of review.

ASSURANCE WITHOUT VULNERABILITY

WFO makes its conflicts discipline public.

Private records retain:

  • personal declarations;
  • names of affected people and counterparties;
  • confidential interests and relationships;
  • legal and professional advice;
  • committee and Decision records;
  • information-barrier arrangements;
  • transaction-specific assessments;
  • and other material whose publication creates unnecessary personal, commercial, legal or security vulnerability.

Public assurance explains the standard and operative sequence. Controlled records preserve the sensitive Evidence.

THE GOVERNING PRINCIPLE

Conflicts are not managed by denying their existence.

WFO protects Decision integrity by making relevant interests, duties and boundaries visible early, recording the response and withdrawing where independence, Authority or confidence are not preserved.
